Source Code Licensing Terms

These terms govern the licensing of Softsasi ERP source code under the Full Source Code Licensing (On-Premise / Private Cloud) procurement option. They supplement, and are read together with, the Master Services Agreement signed between Softsasi Systems and the Licensee.
1. Grant of licence
Upon receipt of the full one-time licence fee and execution of the Software Licence Agreement, Softsasi grants the Licensee a perpetual, non-exclusive, non-transferable, royalty-free licence to install, run and modify the licensed source code on infrastructure owned or controlled by the Licensee, solely for the Licensee's internal business operations.
2. Ownership and intellectual property
All copyright, trade marks, patents and other intellectual property rights in the source code, the platform, the brand and the documentation remain the exclusive property of Softsasi Systems. The licence grants usage rights only; it does not transfer ownership.
3. Permitted use
The Licensee may (a) deploy the source code across its own legal entities and subsidiaries listed in Schedule A of the Licence Agreement, (b) modify the source code to extend or customise functionality for internal use, and (c) make backup and disaster-recovery copies. The licence covers a single named production environment per legal entity unless otherwise agreed.
4. Restrictions
The Licensee shall not: (i) resell, sub-licence, distribute, host or offer the source code or any derivative work as a service to third parties; (ii) remove or obscure proprietary notices; (iii) use the source code to build a directly competing ERP product; or (iv) transfer the licence on a change of control without Softsasi's prior written consent.
5. Third-party and open-source components
The platform incorporates open-source components governed by their respective licences (e.g. MIT, Apache 2.0, PostgreSQL, LGPL). A Software Bill of Materials (SBOM) listing each component and licence is delivered with the source code. The Licensee is responsible for complying with the obligations of each open-source licence in its own deployment.
6. Source code escrow (optional)
On request, Softsasi will deposit the licensed source code with a mutually agreed escrow agent. Release conditions (insolvency, prolonged support failure, material breach) and escrow fees are set out in a separate Escrow Agreement.
7. Updates, support and termination
Access to updates, patches and L1–L3 support is provided under a separate Annual Maintenance Contract (AMC). The perpetual licence itself is not terminated on lapse of AMC; however, no further updates or support will be supplied. Softsasi may terminate the licence for material breach (including unpermitted distribution) on 30 days written notice if the breach is not remedied.
